Vyaire Medical Completes Transaction with Trudell Medical Limited

CHICAGO, November 13, 2024 —  Vyaire Medical today announced that it has completed the sale of the Vyaire Respiratory Diagnostics (RDx) Business Unit and its products to Trudell Medical Limited.  “The sale allows the RDx Business Unit to move forward with a mandate to continue to serve our customers and patients with industry-leading respiratory diagnostics,” said Will Throp, CEO, RDx. “Trudell Medical has been an outstanding partner for Vyaire RDx in Canada and has clearly aligned values, making it a great fit for our team and products.”   The Trudell Medical Group of companies has been in operation for over 100 years. Under the terms of the agreement, Trudell Medical acquired the RDx product portfolio and existing inventory, along with associated consumables, service parts, accessories, and service program offerings. Vyaire Medical Completes Transaction with ZOLL Medical Corporation

CHICAGO, October 14, 2024 — Vyaire Medical today announced that it has completed the sale of the Vyaire Ventilation Business Unit to ZOLL Medical Corporation, a global leader in acute critical care and related software and diagnostic tools. Certain Ventilation assets were not included in the sale to ZOLL. "We are pleased to deliver on our commitment to sell our Ventilation Business Unit to a well-capitalized buyer who can support the growth and development of the Vyaire Ventilation product portfolio,” said John Bibb, Group Chief Executive Officer, Vyaire. “Vyaire will continue to work closely with ZOLL to ensure a smooth transition for our team members, customers, and partners". Under the terms of the agreement, ZOLL acquired the bellavista™, fabian™, LTV™, and 3100 HFOV product lines, along with associated consumables, service parts, accessories, and service program offerings. ZOLL also acquired Vyaire’s existing inventory of AVEA™, ReVel™, SiPAP, and VELA™ ventilators and (“legacy products”) but did not acquire the associated product lines. The sale to ZOLL does not include Vyaire MicroBlenders or the iX5™ ventilator product line and associated operations, which are being marketed to other interested bidders. Vyaire continues to fully manage its RDx business and products, with full support to customers. The company anticipates closing the sale of its RDx Business Unit to Trudell Medical Limited in the coming weeks. Vyaire Medical Files for Chapter 11 Protection, Markets Business Units for Sale

Chicago, June 10, 2024 – Vyaire Medical today announced Vyaire Holding Company and certain of its subsidiaries (Vyaire) have filed for Chapter 11 protection in the United States in order to obtain sufficient financing to continue business operations while Vyaire markets its business units for a value-maximizing sale. This decision follows below-plan performance in the first half of the financial year, which frustrated efforts to refinance company debt. “Chapter 11 protection will offer us the breathing room we need to explore selling our businesses to capable, well-financed buyers that have the financial ability and stability to execute on the Respiratory Diagnostics (RDx) and Ventilation business strategies delivering our vital products to customers and patients in need,” said John Bibb, Group Chief Executive Officer, Vyaire. “Our lenders continue to support our business, and we are working together to go through this process with as little disruption as possible to our customers and trusted partners.” Vyaire remains open for business and, upon court approval, will have post-petition financing in hand to continue operations while in Chapter 11. Vyaire Medical Appoints John Bibb as Group Chief Executive Officer

Bibb has more than 20 years of experience in the medical device industry and most recently led Vyaire as Chief Legal Officer and Secretary, Human Resources. John has worked directly with Apax for more than ten years and has extensive experience advising public and private boards of directors on quarterly operational performance, material transactions and other business matters. The Vyaire consumables portfolio encompasses leading airway management and operative care technology, including well-known brands such as AirLife™ oxygen therapy, Vital Signs™ anesthesia circuits and SuperNO2VA™ nasal PAP ventilation.
